The Constitution of AVAR (2000/11/29)
1. THE NAME OF THE ORGANIZATION
AVAR (pronounced as [eivar] : Association of anti Virus Asia Researchers
2. PURPOSE OF AVAR
a. To prevent the spread and damage caused by malicious software in Asia.
b. To improve member's knowledge and skill through information exchanged among malicious software experts in Asia.
3. TYPE OF THE ORGANIZATION
A non-profit, private organization.
4. ACTIVITIES
a. Operate members' mailing list.
b. Design, set up and maintain AVAR website.
c. Host conference and seminar on anti virus issues.
d. Test and Certification for anti virus products as well as for technical person.
e. Improve communication and cooperation with other anti virus organizations.
5. ORGANIZATION
a) Membership:
There are 2 kinds of membership: AVAR Members and AVAR Subscribers.
i) AVAR Member:
Members of the AVAR mailing list (exclusive). New AVAR members will be recommended by AVAR members and will submit an application form to AVAR board members. Then the vote for acceptance will be taken at the Board Meeting. The vote can be taken on the AVAR mailing list.
ii) AVAR Subscriber:
AVAR subscribers receive AVAR electric newsletters, and also have discount on the admission fee for the AVAR conference and seminar.
b) AVAR Board Members:
The term of the AVAR Board Member is 2 years. The Board Member is elected from the AVAR members, approved and appointed at the AVAR Members Meeting.
i) 1 Chairman and 1 President
ii) Multiple Vice Presidents (AVAR Regional Office)
iii) Multiple Directors
iv) Treasurer: 1 person who is in charge of the accounting of the AVAR organization.
c) AVAR Members Meeting:
Members meeting is held annually. Only AVAR members have the right to vote. Quorum: the meeting will be held only when the total number of AVAR members present and the power of attorney exceeds 30% of the total number of AVAR members. Resolution on the agenda is taken at the majority vote of AVAR members present and proxy vote.
i) Agenda:
a) Report on financial status of AVAR and approval of its budget.
b) Proposal of change in the AVAR constitution and its approval.
c) Election and approval of the AVAR board members.
d. AVAR Board Meeting:
Board meeting consists of Chairman, Vice Chairmen and Directors. The Chairman calls for the Board Meeting whenever is considered necessary. Resolution on the agenda is taken at the majority vote of Board Members present and proxy vote. When the vote is taken on the mailing list, the resolution should be taken at the majority vote of the total number of the Board Members.
i. Agenda:
a) Approval of new members and dismissal of the current members.
b) Decision making or changes on constitution, policy, and activities of AVAR.
c) Observation of AVAR administration and management.
e. Revenue:
i.) Annual Membership fee:
a) AVAR Membership Fee (individual): JP\13,000 per person
b) AVAR Membership Fee (corporate): JP$60,000 per company
c) AVAR Subscribers Fee (individual): JP\ 5,000 per person
ii) Other Revenue: donations and profit from AVAR activities.
f. Fiscal Year:
Fiscal Year of AVAR starts on January 1 and ends on December 31.
g. Disposal of assets at dissolution of AVAR:
when AVAR is dissolved, all assets held by AVAR will be donated to similar organizations with the same purpose.

AVAR (Association of anti Virus Asia Researchers) was established to prevent the spread and damage caused by computer virus in the region, and to fight against the threat which affect users. The members of AVAR feel committed to improve their knowledge and skills through active involvement in regional and international anti-virus activities.
The recognition of the AVAR code of conduct is a requirement for AVAR membership.
AVAR Members will:
- Act faithfully, fairly and responsibly toward AVAR members.
- Refrain from creation, release or exchange of computer viruses and other malicious programs unless it is strictly for the purpose of research and analysis.
- Do nothing that will bring discredit on AVAR.
- agree that AVAR board members reserve the right to vote for suspension and/or dismissal of their membership in case the above AVAR code of conduct is violated.
